1. Agreement to Terms
These Terms of Service govern your use of GPath Software, including our website, software, and related services. These terms form a legal agreement between you and LayerSix Digital Limited (trading as GPath Software). In these terms, "GPath Software" means all software products and versions we provide, including 2D, 3D, and future releases, modules, and editions. By accessing or using GPath Software, you agree to these terms.
2. Accounts and Eligibility
- You must provide accurate account information.
- You are responsible for maintaining the security of your account credentials.
- You are responsible for all activity under your account.
3. Subscriptions and Billing
- Paid plans are billed in advance through Paddle, our Merchant of Record.
- Taxes, VAT, and payment processing are handled by Paddle where applicable.
- Subscription renewals continue automatically unless cancelled before the renewal date.
- You can manage or cancel your subscription from the Licences section on your dashboard.
4. One-Time Software Purchases and Upgrade Policy
- We may provide an unlimited free trial for GPath Software, which may be fully functional except for limited export capabilities.
- If you purchase a one-time software license, that purchase grants access to the purchased version and minor updates or patches within that release line.
- Minor updates include maintenance fixes, security updates, and incremental improvements that do not materially change the product release family.
- Major releases (for example, a new paid generation or major version) may require a separate upgrade purchase or new license.
- We may offer upgrade pricing, discounts, or migration paths at our discretion, but these are not guaranteed unless explicitly stated at the time of offer.
5. Permitted Use
- You may use GPath Software only for lawful purposes.
- You agree not to misuse the service, interfere with operation, reverse engineer protected systems, or attempt unauthorized access to accounts, data, or infrastructure.
- You are solely responsible for compliance with all machine, workplace, and safety regulations that apply to your use.
6. Customer Content
You retain ownership of the files, designs, and content you upload or create in GPath Software. You grant us a limited license to host, process, and transmit that content only as necessary to provide the service.
7. Intellectual Property
GPath Software, including software, branding, documentation, and all related materials, is owned by us or our licensors and protected by intellectual property laws. No rights are granted except as expressly set out in these terms.
8. Safety-Critical Use and Output Verification
- GPath Software may generate G-code and toolpaths, but you are solely responsible for validating all output before real-world machine execution.
- You must perform simulation, dry runs, and safety checks (including clearances, workholding, feeds and speeds, origin settings, and tool selection) before each job.
- You are solely responsible for safe machine setup, operation, supervision, emergency procedures, and operator training.
- You assume all risk for damage, injury, or loss arising from machine execution of any output produced by the service.
9. No Engineering or Professional Warranty
GPath Software is a software tool and does not constitute engineering certification, manufacturing approval, legal advice, or safety certification for any design, material, machine setup, or finished part.
10. Service Availability
We may modify, suspend, or discontinue parts of the service from time to time. We may also perform maintenance that temporarily affects availability.
11. Refunds
- Our detailed refund terms are described in our Refund Policy. If there is a conflict between this section and the Refund Policy, the Refund Policy controls for refund-related questions.
- For one-time software purchases, no change-of-mind refunds are available after activation, license key delivery, or download, except where required by applicable law.
- Nothing in these terms limits or excludes any mandatory statutory rights you may have under applicable consumer law.
12. Disclaimers
- GPath Software is provided on an "as is" and "as available" basis.
- To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that outputs are error-free, production-ready, or suitable for any specific machine or material without user verification.
13. Limitation of Liability
- To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business, data, goodwill, production time, or materials.
- To the maximum extent permitted by law, we are not liable for machine damage, tool breakage, property damage, personal injury, or other losses arising from your use of the service or execution of generated output.
- Our total aggregate liability for all claims relating to the service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) USD 100.
14. Indemnification
You agree to defend, indemnify, and hold harmless LayerSix Digital Limited (trading as GPath Software) and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the service, your content, your machine operations, or your violation of these terms.
15. Termination
You may stop using GPath Software at any time. We may suspend or terminate access if these terms are violated or if required for security, legal, or operational reasons.
16. Governing Law
These terms are governed by the laws of England and Wales. You agree that the courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these terms, except where mandatory local law provides otherwise.
17. Changes to Terms
We may update these terms periodically. Updated terms will be posted on this page with a revised date.
